Terms & Conditions

These Terms and Conditions constitute a legally binding agreement between you (whether individually or on behalf of an enterprise or organization, “Client”, “you”) and SEO Sahi Hai Inc. (“Agency”, “we”, “us”).

By approving an electronic proposal, executing a Statement of Work (SOW), issuing a purchase order, paying an invoice retainer, or engaging any of our digital marketing services, you affirm that you have the legal capacity to enter into this contract and agree to be bound by all stipulations outlined herein.

SEO Sahi Hai provides premium digital marketing and search engine visibility services, including but not limited to:

• Search Engine Optimization: Technical site audits, keyword taxonomy, on-page optimization, Core Web Vitals remediation, internal linking architecture, and schema markup injection.
• AI Search & Generative Engine Optimization (AEO / GEO): Perplexity SEO, ChatGPT search visibility, Google AI Overviews, and Large Language Model (LLM) entity recognition.
• Authority Building & Outreach: High-DA guest posting, digital PR, blogger outreach, and niche-relevant backlink acquisition.
• Content & Creative Services: SEO copywriting, commercial landing pages, blog production, and infographic design.
• Web Development & Maintenance: Custom landing page design, WordPress/Shopify maintenance, speed optimization, and tracking pixel implementation.
• Dedicated Virtual Assistants: Dedicated SEO, digital marketing, and eCommerce virtual assistants under monthly retainer models.

Exact project deliverables, milestones, turnaround windows, and KPI metrics are formalized within each client-specific Statement of Work (SOW).

Effective digital campaign delivery relies on prompt collaboration. As a Client, you agree to:

• Provide Timely Access: Grant appropriate administrative, read-only, or delegated user access to your Content Management System (CMS), FTP/cPanel, Google Analytics, and Google Search Console within 5 business days of kickoff.
• Review & Approvals: Provide feedback and approvals on submitted content drafts, landing page layouts, and technical recommendations within 7 business days to avoid project delays.
• Accurate Materials: Ensure that all logos, trademarks, text copy, images, and brand assets supplied to the Agency do not infringe upon any third-party intellectual property rights.
• Pre-existing Penalties: Disclose any previous algorithmic manual actions, black-hat link schemes, or domain disavow history prior to project initiation.

• Monthly Retainer Services: Ongoing retainers (SEO packages, VA services, ongoing outreach) are billed on an advance monthly cycle on the 1st or custom billing date.
• Fixed-Price Projects: Web development, technical migrations, or one-off audits typically require a 50% upfront retainer with the remainder due upon milestone delivery or completion.
• Taxes: All stated prices are exclusive of applicable taxes (GST in India, VAT, or local sales taxes) unless expressly stated otherwise in writing.
• Late Payments: Accounts overdue by more than 15 calendar days may result in temporary suspension of active optimization services and delay of deliverable handoffs.
• Refund Policy: Due to the intensive manual labor, third-party publishing costs, and proprietary execution required for SEO and content creation, fees paid for completed work cycles or published guest post links are strictly non-refundable.

Each party agrees that all confidential, technical, financial, and strategic information disclosed during the engagement will be held in strict confidence. Neither party shall disclose such proprietary information to any third party without prior written consent, except to employees and contractors on a need-to-know basis who are bound by non-disclosure agreements.

For White-Label Resellers, we maintain complete stealth operations. We will never contact your end-clients directly nor reveal our partnership without your written consent.

While SEO Sahi Hai employs industry-leading, battle-tested, white-hat optimization strategies that have achieved #1 rankings for thousands of keywords over 22+ years:

• No ethical SEO agency can honestly guarantee an exact #1 position for any specific search keyword on any specific date. Anyone promising guaranteed #1 rankings within 24 hours is violating Google Webmaster Guidelines.
• Search engine ranking fluctuations frequently occur during broad core algorithm updates, competitor link building campaigns, or seasonality.
• We commit to diligent, expert, standards-compliant optimization efforts and ongoing tactical pivots to navigate algorithmic shifts proactively.

To the maximum extent permitted by applicable law, in no event shall SEO Sahi Hai, its directors, employees, or contractors be liable for any indirect, punitive, incidental, special, or consequential damages, including loss of profits, revenue, data, goodwill, or business interruption arising out of or in connection with the services.

Our total aggregate liability under this agreement, regardless of the form of action (whether in contract, tort, or otherwise), shall strictly not exceed the total fees actually paid by the Client to the Agency in the three (3) months preceding the incident giving rise to the claim.

The Client agrees to defend, indemnify, and hold harmless SEO Sahi Hai and its officers against any third-party claims, liabilities, losses, damages, or costs (including reasonable legal fees) arising from:

• Client-provided materials, trademarks, or content that infringe upon third-party copyright, patent, or intellectual property rights.
• Any illegal, misleading, or deceptive advertising claims present on the Client's website or commercial marketing funnels.
• Violations of consumer protection, data privacy, or trade regulations committed directly by the Client.

Unless a fixed-term SOW specifies otherwise:

• Monthly Retainer Cancellation: Either party may terminate an ongoing monthly retainer agreement by providing thirty (30) days prior written notice via email.
• Immediate Termination for Cause: Either party may immediately terminate this agreement if the other party breaches a material term and fails to cure such breach within 14 business days of written notice.
• Handoff & Transition: Upon termination and settlement of all outstanding invoices, the Agency will immediately return all Client credentials, revoke delegated accesses, and provide a final deliverable summary report.

During the term of this agreement and for a period of twelve (12) months following its termination, the Client agrees not to directly or indirectly solicit, recruit, hire, or engage as an independent contractor any employee, virtual assistant, SEO strategist, or developer employed by SEO Sahi Hai who was introduced to the Client through this engagement, without prior written agreement and payment of an agreed placement fee.

This agreement shall be governed by, and construed in accordance with, the laws of India, without giving effect to any principles of conflicts of law.

In the event of any dispute, claim, or controversy arising out of or relating to this agreement, the parties agree to first seek an amicable resolution through informal negotiation for a period of thirty (30) days. If unresolved, the dispute shall be referred to binding arbitration conducted under the Arbitration and Conciliation Act, with the seat and venue in Mohali / Chandigarh, India.
